 AMS Statement of Terms and Conditions for Sales

The following Terms and Conditions apply to the goods and services purchased from Aerospace Maintenance Solutions (AMS) 8759 Mayfield Rd., Chesterland, OH 44026. As an AMS customer, you and your company are bound by the terms and conditions listed below.


Response Times:
AMS strives to save you time and earn your trust. We take action on orders in several ways:

Critical: ship within 24 hours.
Expedite: ship within 7 business days.
Normal: ship within 30 days.

To ensure the appropriate priority is given to your order, please include the exact terminology noted above when placing your orders.

Quotations
Upon request, AMS provides written price quotations. The quotations are good for 30 calendar days. Standard response time for a price quotation is less than 5 days.

Purchase Orders
The Purchase Order (PO) supersedes all prior verbal and written understandings or communications. However, AMS reserves the right to issue a written request to change or amend the PO. Changes may include product or service quantities, place of delivery, shipping method, and time of delivery.

AMS assumes your company's acceptance of these Terms and Conditions upon our receipt of your company's PO.

Minimum orders are $100.00.

Each AMS PO should include a PO number, manufacturer's part number, keyword or description, quantity, price per unit, an address and telephone number for your company, and the names(s) of your company's primary contacts.

Invoices and Terms of Payment
The AMS payment terms are net 30 from the receipt of the invoice or shipment of product(s), whichever comes first. AMS prefers company wire transfers from US-based banks, especially when customers are located outside of the United States (US). Automated Clearing House deposits are accepted by AMS. Checks are acceptable as well, as long as they are drawn on a US-based bank. AMS sometimes ships products on a Cash-On-Delivery (COD) basis, which requires the prior written consent of an AMS Managing Partner. Packaging and Shipping:
Your PO should include the time and place you expect delivery. Include any specific dock or building numbers and a telephone number for someone to contact your company about the shipment of delivery.

Outbound packages from AMS include a packing slip. In some cases, a functional test report, certification, or test results could also be included.

Materials, components, and other products sent by AMS will be properly packaged for the protection of the products. If specific packaging instructions are required, please include these on the PO. .

Returns
Prior to departure from our shipping dock, AMS inspects all products and components for accuracy and compliance with your company's specifications and shipping instructions. If the products ordered by your company are not consistent with what has arrived at your shipping dock, AMS will send to you a new shipment and pay the cost of shipping the new order to you.

Items ordered in error by the customer may be returned within 10 days of their delivery; however, restocking fees up to 25% may apply.

In some circumstances, non-conforming parts and components may be returned under the Original Equipment Manufacturer's Warranty with the prior, written consent of an AMS Managing Partner. Contact .(JavaScript must be enabled to view this email address) for warranty questions.

If any shipping damage has occurred to your order in transit to your location, the damaged item(s) must be reported to AMS within 48 hours of your shipment's arrival and then returned to us as soon as possible thereafter. Include all corresponding paperwork (or copies) in the return shipment.

Your acceptance of AMS product(s) and the agreement to our Terms and Conditions is presumed if you fail to object and alert AMS in writing within 10 days of delivery of goods, whether it is all or any part of your order.

Cancellations
Any cancelation of products by your company must be issued in writing by the appropriate purchasing or specifying agent. All cancellations are also subject receipt of appropriate documentation and any applicable cancellation charges that may apply.

Equivalent Parts
"Equivalent Parts" are sometimes considered as direct substitutes for AMS orders, but only if an AMS Managing Partner approves the substitution in writing. AMS reserves the right to, if necessary, substitute such parts at the time of order fulfillment.

Quality
AMS is ISO 9001: 2008 compliant and FAA-145 certified. For our customers, that means our products and services are traceable, verifiable, and maintained under the conditions set forth by the ISO and FAA guidelines with which we comply.

Quality records for AMS are available to customers as governed by applicable statutory regulations.

Patents, Trademarks, and Confidential Information
We keep confidential proprietary technology by shredding any unnecessary documents or files, so they are unrecoverable.

Limitation of Liability
AMS's liability for any loss or damage of any kind whatsoever arising out of or in connection with performance of third-party products AMS has repaired or maintained shall not exceed $50,000.00. This limitation applies regardless of the cause or the nature of the damage or loss. This limitation applies to any AMS affiliates, including employees and contracted workers it employs.

AMS will not be responsible for lost or stolen shipments in transit from our facilities under the care of third-party shippers.

AMS can not be liable for conditions beyond our control, including fires, severe whether, and acts of terrorism.

Taxes and Duties
If appropriate, AMS will pay necessary taxes, duties, or import fees imposed by the US or other countries with which it does business.

Export/Import Licenses
The buyer, not AMS, is responsible for obtaining all licenses and government authorization required for shipment of goods across international borders. AMS shall not be held liable for products that are delayed or denied at a border for any reason.

As-Is Condition
Components sold by AMS are typically sold "As-is," meaning that you, the purchaser, do not expect the products to be in new condition.

Pricing
Pricing is sometimes subject to availability. Pricing may change with or without notice. AMS prices do not typically include shipping, taxes, duties, and other transportation costs.

Calibration
When necessary, AMS calibrates components and the test sets upon which they are tested. AMS test sets are sometimes calibrated via certified line replacement units (LRU).

Buyer's Terms and Conditions
Other terms and conditions aside from those set forth here by AMS - particularly the purchasers' and buyers' purchase orders or other ordering documents -- are not binding to AMS, unless acknowledged by an AMS Managing Partner in a written addendum to this public set of AMS Terms and Conditions.

AMS Warranty
From the time your shipment arrives at your facility, Aerospace Maintenance Solutions, LLC provides a Limited Warranty for a period of 12 months on its repairs and overhauls as related only to AMS workmanship and materials. AMS affixes labels to the overhauled items indicating a warranty exists, the duration of the warranty, and point of contact. Warranty claims are voided if tamper-proof labels are damaged or altered. AMS will be neither responsible nor liable for items of which unauthorized maintenance has been attempted as indicated by tamper-proof labels. All warranty claims entail a teardown procedure to determine the nature of the failure, which determines if the terms of AMS warranty apply.

Definitions
"Goods" refers to materials, parts, products, machines, tooling, test equipment, software, computers, and other deliverables that are physically manifested.

"Services" refers to technical data, maintenance, consultation, construction work, and other deliverables.

"Seller: refers to AMS.

"Purchaser" and "Customer" refer to OEMs, purchasing/procurement agents, and brokers.


AMS Statement of Terms and Conditions for Purchases

The following Terms and Conditions apply to the goods and services purchased, leased, and rented by Aerospace Maintenance Solutions (AMS) 8759 Mayfield Rd., Chesterland, OH 44026. As a supplier, you agree to and are bound by the terms and conditions listed below.


Purchase Orders
Selling goods and services to AMS requires purchase order (PO) numbers, which must be obtained prior to submitting corresponding invoices.

The PO supersedes all prior verbal and written understandings or communications. No modifications to the PO are permitted by the seller.

AMS reserves the right to issue a written change order or amendment to the PO. Changes may include product or service quantities, place of delivery, shipping method, and time of delivery.

Acknowledgement of the PO, shipment of goods, and commencement of work pursuant to an AMS PO will be deemed acceptance of the AMS Terms and Conditions.

POs are governed by the laws of the country (USA) and state (Ohio) in which AMS headquarters are located.

Payments
Our terms for payment for goods and services are 30 days from the receipt of the invoice at the AMS address noted above.

Invoices should be dated no earlier than the date of shipment from your facility.

Invoices for items purchased by AMS should be sent to: Denette Ditmer, Office Manager & Production Controller.

Packaging and Shipping:
Materials, components, and other products sent to AMS should be properly packaged for the protection of the products. For example, use appropriate electro-static discharge (ESD) - approved bags or other precautionary measures to protect sensitive electronic components. ESD and other warnings labels should be used when appropriate.

No charges for packaging materials, insurance, or other shipping charges can be added to AMS invoices without prior written consent from AMS.

Inspections, Errors, and Returns
Inbound packages to AMS must include a packing slip. In some cases, a functional test report, certification, or test results must also be included. It is the seller's responsibility to know when to include the latter.

Calibration certifications included with product shipments should include the "As found" and "As left" condition. Include certifications with packaging slips.

Upon receipt at our shipping dock, AMS inspects all inbound products and components for damage, defects, substitutions, and other non-acceptable conditions. AMS will typically not accept items that have been damaged prior to arrival at our facility.

If any non-acceptable conditions or non-compliance issues with either the products or with the provisions and stipulations of the PO are discovered, AMS reserves the right to return the items to the seller at the seller's expense.

If the products ordered by AMS per the PO are not consistent with what has arrived at our shipping dock, AMS reserves the right to refuse delivery of shipments not ordered and will return said items to the sender at the sender's expense.

AMS will have access to your company's FFA inspection records upon request.

Timing
Much of the work at AMS is dependent on timing and fast turn-around of projects. Consequently, we expect that shipments from vendors arrive on time. If vendor products do not arrive in a timely manner for any reason, we reserve the right to deduct expenses or resulting damages incurred by AMS from any invoice we have outstanding with your company.

If products or services purchased from your company do not arrive at the agreed-upon time, AMS reserves the right to cancel your order, without penalty. Under these conditions, we also may need to exercise our option to make our purchases elsewhere.

Vendors should provide advance notice (24 -48 hr) for each shipment sent to AMS.

Equivalent Parts
So-called "equivalent" parts can be considered as direct substitutes for AMS orders only if an AMS managing partner approves the substitution in writing prior to issuance of the PO.

Quality
AMS is ISO 9001: 2000 certified. For our vendors, that means we expect products and services to be traceable, verifiable, and produced under the conditions set forth by the ISO and FAA guidelines with which we comply.

Our vendors are typically required to maintain a Quality system sanctioned by AMS and its affiliates. AMS reserves the right to inspect the Vendors products and facilities for evidence of appropriate and non-appropriate Quality practices, processes, and procedures. Your company must allow access by AMS to review, analyze, and verify, on-site if necessary, your Quality and manufacturing systems.

You must maintain third-party certification of your Quality systems.

You must identify and manage your entire supply chain. It is the AMS vendor's responsibility to verify that all the vendor's suppliers operate within the guidelines established by AMS and its Quality manager.

All quality records must be legible (preferably typed) and in English.

In some cases, AMS requires a Certificate of Conformance.

Quality records for AMS must be available to AMS and retained by the vendor as governed by applicable statutory regulations.

Subcontracting
The seller shall not subcontract services or work on products destined for AMS to any third party without the expressed written consent of AMS's Managing Partners.

Patents, Trademarks, and Confidential Information
AMS works with patented technology. As a vendor, AMS expect you and your company to keep confidential any drawings, text, images, diagrams, reports, schematics, renderings, software, files, e-mail, conversations or other aspects of proprietary technology that you come in contact with as a result of working with AMS. That includes proprietary products and services from AMS and AMS's business associates. By being our vendor, you the seller agree to neither disclose nor release any proprietary information, either voluntarily or involuntarily. Please properly dispose of (shred) any unnecessary documents or files associated with AMS, so they are unrecoverable.

Limitation of Liability
AMS will not be responsible for lost or stolen shipments in transit to our facilities.

Vendors will not be liable to AMS for conditions beyond their control, including fires, severe whether, and acts of terrorism.

Warranty
As the vendor, seller, and/or broker, you guarantee that the products shipped to AMS and its affiliates are free from defects in materials and workmanship. Your company acknowledges that it will be responsible for, and bear the expense of, any and all necessary corrective actions if a product or service is found by AMS to be defective, faulty, or otherwise inoperative.

Sellers also warrant that goods and services sold to AMS do not infringe on any patented or proprietary designs.

Taxes and Duties
AMS vendors agree to pay any taxes, duties, or import fees imposed by the US or other countries with which it does business.

Indemnification
Seller shall indemnify and hold harmless AMS against any and all claims for patent, copyright, and trademark infringement.
